1. The service and your account
CommerceOS provides tools for connected commerce operations. We grant you a limited, nonexclusive, nontransferable right to use the service for your lawful internal business purposes during your account's permitted use. You must provide accurate account information, protect credentials, restrict access appropriately, and promptly report unauthorized use. You are responsible for users you authorize and instructions issued through your account, except to the extent caused by our breach of these Terms or obligations imposed by law.
Features depend on your plan, connection permissions, and third-party eligibility. A retailer logo, demonstration, or sample record does not establish a partnership, acceptance into a marketplace, or enable a connection. Demo interactions use sample data. We may improve or change features; material changes affecting a paid commitment will be communicated as required by the applicable order and law.
2. Merchant responsibilities
You control your business decisions and remain the seller responsible for your products, listings, pricing, inventory, taxes, shipping, returns, refunds, customer service, licenses, and legal compliance. Review connection permissions and automation settings before enabling them. Check important outputs and reconcile source-platform records; maintain independent records and a practical continuity plan.
You must have the rights and permissions needed to upload content and authorize access to accounts and personal information. Provide required notices and obtain legally required consents. Do not use CommerceOS for prohibited products or transactions, unlawful discrimination, infringement, deceptive conduct, malware, unauthorized access, excessive interference, or evading platform restrictions. Do not copy, resell, reverse engineer, or bypass service limits except where applicable law expressly permits it.
3. Your data, content, and confidentiality
You retain rights in your content and business data. You authorize us and our service providers to access, host, copy, transmit, and process it only as needed to deliver, secure, support, and administer the service, follow your instructions, and meet legal obligations. This authorization does not transfer ownership or grant a right to sell your customer information. Personal information is handled as described in our Privacy Policy and any applicable data-processing agreement.
Each party will protect the other's nonpublic business information with reasonable care and use it only for the service relationship. Disclosure is permitted to persons with a need to know and appropriate confidentiality duties, or when legally required. This does not restrict information already public, independently developed, or lawfully received elsewhere. We retain rights in CommerceOS and may use voluntary product feedback without compensation, excluding your confidential information and personal data.
4. Third-party services
Shopify, marketplaces, carriers, authentication services, and payment providers operate under separate terms. You are responsible for required accounts, permissions, and third-party charges. They can reject listings, change APIs, restrict accounts, delay processing, or become unavailable. CommerceOS does not control those decisions and does not guarantee channel eligibility, sales, ranking, delivery, uninterrupted synchronization, or third-party performance. Disconnecting an integration stops future authorized activity where technically supported; it cannot undo transactions already completed by another platform.
5. Free allowance, subscriptions, and fees
The published free allowance is the first 200 eligible marketplace orders per installed-store billing account, once rather than monthly. Eligibility and counting rules appear in the pricing information shown with your plan. A paid plan, recurring charge, or usage charge requires the applicable billing approval; using the free allowance does not by itself authorize a paid upgrade. Approving a paid plan starts its base fee immediately, even if free orders remain.
Approved subscriptions renew at the interval and price disclosed during approval unless canceled through the available billing controls or provider before renewal. Approved usage charges, caps, taxes, and third-party fees apply as disclosed. Unless the purchase terms or law require otherwise, paid fees are nonrefundable and partial periods are not prorated. Cancellation stops future renewals but does not erase charges already incurred. We will disclose prospective price changes before they apply and obtain renewed authorization when required. Contact us promptly about a billing error.
6. Suspension, termination, and records
You may stop using the service, disconnect integrations, or uninstall the app. Cancel any paid subscription through its billing controls or provider. We may suspend access when reasonably necessary to address security threats, unlawful activity, material breach, nonpayment, or a third-party restriction. Where practical, we will explain the reason and allow a remedy; urgent protective action may be immediate.
On termination, access and processing may stop. Export needed records beforehand when practicable. We handle retained information and deletion requests under the Privacy Policy and applicable law; we do not promise indefinite storage. Termination does not remove accrued payment obligations or provisions intended to survive, including confidentiality, intellectual property, liability limits, and indemnity.
7. Warranties and operational risk
To the fullest extent permitted by law, the service, including free, beta, and demonstration features, is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant error-free or uninterrupted operation, perfectly accurate records, prevention of overselling, or any commercial result. CommerceOS does not provide legal, tax, accounting, or regulatory advice.
You assume the business risks of your chosen products, integrations, instructions, reliance on unverified outputs, and failure to maintain independent safeguards. This allocation does not excuse our breach of nonwaivable privacy, security, or other legal duties, or transfer responsibility for conduct the law does not allow us to disclaim.
8. Limitation of liability
To the fullest extent permitted by law, Sellery Digital LLC and its officers, employees, agents, and service suppliers will not be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, business opportunity, goodwill, anticipated savings, or data, arising from use of or inability to use CommerceOS, even if advised of the possibility.
To the fullest extent permitted by law, our aggregate liability arising out of or relating to CommerceOS or these Terms will not exceed the greater of US$100 or the fees you paid us for the service during the 12 months before the event giving rise to the claim. These limits apply across legal theories and related claims. They do not limit fraud, willful misconduct, gross negligence, death or personal injury, or any other liability to the extent exclusion or limitation is prohibited by applicable law. Mandatory statutory remedies remain available.
9. Merchant indemnity
To the extent permitted by law, you will defend and indemnify Sellery Digital LLC and its officers and employees against third-party claims and resulting reasonable costs, damages, and legal fees arising from your unlawful products or conduct, infringement by content you supply, lack of required data permissions, or material breach of these Terms. This obligation does not apply to the extent a claim results from our breach, negligence, fraud, or willful misconduct.
We will promptly notify you of a covered claim and reasonably cooperate at your expense. You may control its defense with competent counsel, subject to conflicts of interest. You may not settle a claim in a way that admits our fault, imposes nonmonetary duties on us, or leaves us liable without our written consent.
10. Changes and general terms
We will give reasonable notice of material changes to these Terms and obtain acceptance when required. Changes apply prospectively, unless a change in law requires otherwise. A separate signed agreement or accepted order controls an express conflict; applicable data-processing terms control personal-data processing conflicts.
No provision waives rights or remedies that cannot legally be waived. If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver. Neither party is responsible for delays caused by events beyond its reasonable control, except payment obligations and duties that law does not excuse. These Terms and incorporated purchase terms form the agreement for the service. Contact info@sellerydigital.com first about a dispute so we can try to resolve it; this does not prevent either party from seeking legally available remedies.
